The annual stockholder's meeting for Churchill
Downs Incorporated (CDI & CHDN) was held earlier this week, resulting in several
changes to both the Board of Directors, as well as the 2004 Restricted Stock
Plan. The meeting fittingly took place at the Churchill Downs racetrack in
Louisville, Kentucky, and elicited a strong attendance from company members.
Before the meeting was over, four new Class I
Directors were elected to the Board, which now includes Leonard Coleman, Craig
Duchossois, G. Watts Humphrey Jr., and Thomas Meeker - all for terms of three
years. Much talk and planning had gone into the appointments prior to the
annual meeting, which served as an official hearing to induct the new officers.
Mr. Coleman has an extensive resume, which includes
diversified involvement in both sports and art. He is a retired senior
advisor for Major League Baseball, former President of the Professional Baseball
Clubs, Chairman of the Jackie Robinson Foundation, Director of Little
League Baseball, the Children's Defense Fund, Aramark Corp and the Omnicom
Group, as well as the Metropolitan Opera and the Schuman Fund and Village of
Waterloo.
Mr. Cuchossois' experience includes extensive
involvement in the education and financial fields. He has served as Chief
Executive Officer and Director for The Chamberlain Group, Director of LaSalle
National Bank, Director for University of Chicago, University of Chicago
Hospitals and Illinois Institute of Technology.
Mr. Humphrey brings a great deal of experience from
the horseracing industry, and also has credible executive and management
experience, that includes being CEO of IPEG and Centria, as well as
Director of Smithfield Trust Company and a member of the Board of Trustees for
University of Pittsburg and Centre College. He is owner of Shawnee Farm,
Vice Chairman of The Blood-Horse Inc., steward of the Jockey Club, and Director
of the American Horse Council, National Thoroughbred Racing Association, and the
Breeders' Cup Limited.
Mr. Meeker also brings a great deal of experience
from the finance and thoroughbred racing fields. In addition to already
being CEO of Churchill Downs Inc., he (like Mr. Humphrey) is a Director of the
National Thoroughbred Racing Association and member of the Centre College Board
of Trustees. Meeker is also Director of PNC Bank and Kentucky Inc.
